01Introduction and acceptance
These Terms & Conditions ("Terms") govern your use of the Code-Ox Technologies ("Code-Ox", "we", "us") website and the software, IT and consulting services we provide. By using this website or engaging our services you agree to these Terms.
If you accept these Terms on behalf of a company, you confirm that you have authority to bind it.
02About Code-Ox
Code-Ox is a software and IT solutions company with offices in India, Saudi Arabia and the United Arab Emirates. The Code-Ox entity named in your proposal or agreement is the party that contracts with you.
03Use of the website
You agree not to:
- use the website in any way that is unlawful or harms others;
- attempt to gain unauthorised access to the website, its servers or related systems;
- introduce malware or interfere with the normal operation of the website;
- scrape or collect data from the website in bulk without our permission.
04Services, proposals and scope
Our services are delivered under a written proposal, statement of work or agreement ("Agreement") that sets out the scope, deliverables, timelines and fees. Information on this website is general and is not a binding offer.
- Proposals are valid for the period stated in them.
- Changes to the agreed scope are handled through a change request, which may affect the timeline and fees.
- Timelines depend on you providing information and approvals on time.
If these Terms conflict with a signed Agreement, the Agreement prevails.
05Client responsibilities
To allow us to deliver the services, you agree to:
- provide accurate and complete information and the access we need;
- give feedback and approvals promptly and name a responsible contact person;
- make sure you have the right to use any materials you give us, such as content, data and logos;
- use the deliverables in line with applicable laws.
06Fees and payment
Fees, payment milestones and any recurring charges are set out in the Agreement. Unless the Agreement says otherwise:
- invoices are payable within the period stated on them;
- fees exclude applicable taxes, including VAT;
- third-party costs such as hosting, licences and subscriptions are charged separately;
- we may pause work on overdue amounts after notifying you.
07Intellectual property
Code-Ox keeps ownership of its pre-existing tools, frameworks, know-how and working materials. Ownership and licensing of deliverables created specifically for you are set out in the Agreement; unless the Agreement says otherwise, rights in custom deliverables pass to you once all fees are paid in full.
You grant us a licence to use the materials you provide to the extent needed to deliver the services. Content on this website is owned by or licensed to Code-Ox and may not be copied, modified or distributed without our written permission.
08Confidentiality
Each party agrees to keep the other's non-public business, technical and personal information confidential, to use it only for the purposes of the services, and not to disclose it except to people who need it or where the law requires. This obligation continues after the services end.
09Third-party software, licences and links
Some of our services rely on third-party products such as Odoo, cloud hosting and integrations. These are governed by their own licences and terms, and we are not responsible for third-party services. This website may link to external websites that we do not control. Third-party names and logos, including partner badges, belong to their owners and are used for identification only.
10Warranties and disclaimers
We perform our services with reasonable skill and care. This website and its content are provided "as is" for general information and, to the extent permitted by law, we give no other warranties, including that the website will be uninterrupted or error-free. Software can contain defects; we will address defects reported within the period and in the way set out in the Agreement.
11Limitation of liability
To the extent permitted by law, Code-Ox is not liable for indirect, incidental or consequential loss, or for loss of profit, revenue, data or goodwill. Our total liability arising from the services is limited to the fees you paid for the services giving rise to the claim, unless the Agreement says otherwise. Nothing in these Terms limits liability that cannot be limited by law.
12Term and termination
Either party may terminate as set out in the Agreement, including for a material breach that is not remedied within a reasonable period after written notice. On termination you pay for the services performed and costs incurred up to the termination date, and the provisions on confidentiality, intellectual property, payment and liability continue to apply.
13Governing law and disputes
These Terms are governed by the laws applicable in the jurisdiction of the Code-Ox entity you contract with, and any dispute will be subject to the courts of that jurisdiction, unless the Agreement says otherwise. We encourage you to contact us first so we can try to resolve any concern amicably.
14Changes to these Terms
We may update these Terms from time to time. The "Last updated" date on this page shows when they were last revised, and continued use of the website or our services after a change means you accept the updated Terms.
