By accessing or using the Code-Ox Technologies website (code-ox.com) or engaging our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our website or services. These terms apply to all visitors, clients, and users of our website and services. We reserve the right to update these terms at any time, and continued use of our services constitutes acceptance of any changes.

Code-Ox Technologies provides software development, IT consulting, and related digital services including but not limited to: • Web application development • Mobile application development • Odoo ERP implementation, customization, and support • UI/UX design • Digital marketing services • IT consulting and advisory The specific scope, deliverables, timelines, and fees for each project are defined in a separate Service Agreement or Statement of Work (SOW) signed between Code-Ox Technologies and the client.

As a client, you agree to: • Provide accurate and complete information required for project execution • Respond to requests for feedback, approvals, and content in a timely manner • Ensure you have the legal rights to any materials, assets, or content you provide to us • Pay all invoices in accordance with the agreed payment schedule • Designate a point of contact with authority to make decisions on your behalf • Notify us promptly of any changes that may affect the project scope or timeline Delays caused by failure to meet these obligations may affect project timelines and may result in additional charges.

Unless otherwise stated in a signed agreement: • Projects require an advance payment before work begins (typically 30–50% of total project value) • Milestone-based payments are due upon completion of each agreed milestone • Final payment is due before final delivery or deployment of the project • Invoices are payable within 14 days of issuance • Late payments may incur interest at a rate of 1.5% per month • We reserve the right to suspend work on projects with overdue payments All prices are exclusive of applicable taxes unless stated otherwise.

Upon receipt of full payment, Code-Ox Technologies transfers ownership of the final deliverables (custom code, designs, and content created specifically for the client) to the client. The following remain the property of Code-Ox Technologies at all times: • Pre-existing tools, frameworks, libraries, and methodologies • Internal processes and development approaches • Any work product not covered by a signed agreement • Portfolio rights to display completed work (unless explicitly waived) Third-party components (open-source libraries, licensed assets) are subject to their respective licenses. We will disclose the use of such components in our deliverables.

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes business strategies, technical specifications, client data, and financial information. Confidentiality obligations do not apply to information that: • Is or becomes publicly available through no fault of either party • Was already known to the receiving party prior to disclosure • Is required to be disclosed by law or court order We are happy to sign a Non-Disclosure Agreement (NDA) upon request before project discussions begin.

Code-Ox Technologies warrants that: • We have the right and authority to provide the agreed services • Our work will be performed with reasonable skill and care • Deliverables will materially conform to agreed specifications We provide a warranty period of 30 days following project delivery during which we will fix defects that arise from our work at no additional charge. This warranty does not cover issues arising from client modifications, third-party integrations, or changes in external services. EXCEPT AS EXPRESSLY STATED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

To the maximum extent permitted by applicable law, Code-Ox Technologies shall not be liable for: • Indirect, incidental, special, or consequential damages • Loss of profits, revenue, data, or business opportunities • Damages arising from third-party services or integrations • Issues caused by client-provided content or third-party systems Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the total fees paid by you to us in the 3 months preceding the claim.

Either party may terminate a project engagement with 14 days written notice. Upon termination: • The client shall pay for all work completed up to the termination date • We will deliver all completed work and assets paid for • Each party will return or destroy the other's confidential information • Provisions relating to intellectual property, confidentiality, and limitation of liability survive termination We reserve the right to terminate services immediately if a client engages in fraudulent, abusive, or unlawful conduct.

When using our website, you agree not to: • Attempt to gain unauthorized access to our systems or data • Use automated tools to scrape, crawl, or harvest content • Transmit malicious code, viruses, or harmful content • Impersonate Code-Ox Technologies or any of our staff • Use our website for any unlawful or unauthorized purpose We reserve the right to restrict or terminate access to our website for users who violate these terms.

These Terms of Service shall be governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to arbitration in Kozhikode, Kerala, India, in accordance with the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. For clients in Kuwait or UAE, we are open to agreeing on alternative dispute resolution jurisdictions in our project contracts.
